Terms of Service.

1. Agreement and Acceptance
These Terms of Service ("Terms") constitute a legal agreement between you ("Customer," "you," or "your") and FluxAI US INC ("FluxAI," "we," "us," or "our") governing your use of FluxAI Enterprise software and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms.
2. Service Description
FluxAI Enterprise provides:
- Private AI deployment and management platform (SovereignGPT)
- On-premise artificial intelligence processing capabilities
- Enterprise workflow automation tools (AI Agents)
- Document intelligence platform (Prisma Suite)
- Integration frameworks for existing enterprise systems
- Professional services and technical support
3. License Grant and Restrictions
3.1 License Grant
Subject to these Terms and payment of applicable fees, FluxAI grants you a non-exclusive, non-transferable license to use the Services for your internal business purposes during the subscription term.
3.2 Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the software
- Sublicense, rent, lease, or distribute the Services to third parties
- Use the Services for illegal or unauthorized purposes
- Attempt to circumvent security measures or access restrictions
- Remove or modify proprietary notices or labels
4. Data Ownership and Privacy
4.1 Customer Data Ownership
You retain complete ownership and control of all data, content, and information processed through FluxAI Enterprise ("Customer Data"). FluxAI claims no ownership rights to Customer Data.
4.2 Data Processing
FluxAI Enterprise is designed for complete data sovereignty:
- Customer Data is processed entirely within your infrastructure
- No Customer Data is transmitted to FluxAI servers or third parties
- FluxAI does not access, use, or analyze Customer Data
- You maintain complete control over data access and security
5. Payment Terms
5.1 Fees and Payment
Customer agrees to pay all fees as specified in the applicable order form or subscription agreement. Fees are non-refundable except as expressly provided in these Terms.
5.2 Payment Terms
- Fees are payable in advance for each subscription period
- Late payments may result in service suspension
- All fees are exclusive of taxes, which Customer is responsible for
6. Support and Maintenance
FluxAI provides the following support based on your subscription tier:
- Professional/Enterprise: 24/5 or 24/7 technical support
- Software Updates: Regular platform updates and security patches
- Documentation: Access to technical documentation and resources
- Professional Services: Implementation and optimization services (additional fees may apply)
7. Service Level Agreement
7.1 Uptime Commitment
For Enterprise tier customers, FluxAI commits to 99.9% uptime for platform availability, measured monthly and excluding scheduled maintenance.
7.2 Support Response Times
- Critical Issues: 2 hours response time
- High Priority: 8 hours response time
- Normal Priority: 24 hours response time
8. Intellectual Property
FluxAI retains all rights, title, and interest in the Services, including all intellectual property rights. Customer retains all rights to Customer Data and any modifications or customizations to workflows using FluxAI tools.
9. Warranties and Disclaimers
9.1 Limited Warranty
FluxAI warrants that the Services will perform substantially in accordance with the documentation under normal use and circumstances.
9.2 Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLUXAI'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM. FLUXAI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Indemnification
FluxAI will defend Customer against third-party claims that the Services infringe valid intellectual property rights, subject to Customer providing prompt notice and cooperation. Customer will indemnify FluxAI against claims arising from Customer Data or violation of these Terms.
12. Term and Termination
12.1 Term
These Terms begin when accepted and continue for the subscription period specified in your order form.
12.2 Termination
Either party may terminate for material breach if not cured within 30 days of written notice. FluxAI may suspend services immediately for non-payment or security violations.
13. Compliance and Security
FluxAI Enterprise is designed to support compliance with:
- GDPR, HIPAA, and other privacy regulations
- SOC 2 Type II and ISO 27001 security standards
- Industry-specific compliance requirements
- Government and defense security standards (FedRAMP ready)
14. Governing Law and Disputes
These Terms are governed by Delaware law without regard to conflict of law principles. Any disputes will be resolved through binding arbitration in Delaware, except that either party may seek injunctive relief in court.
15. General Provisions
These Terms constitute the entire agreement between the parties. Modifications must be in writing and signed by both parties. If any provision is found unenforceable, the remaining provisions remain in effect.
